1. Welcome and Definitions:

Welcome to CareerNav.com. These Terms and Conditions are a binding agreement between you and CareerNav, LLC ("CareerNav") governing your use on the CareerNav site (the "Site"). By creating an account on the Site on the Sign Up page or by using the Site at all you are agreeing to abide by the Terms and Conditions of this Site.

If you do not agree with these Terms and Conditions do not use this site.

CareerNav reserves the right to amend this Agreement by posting an amended version to the Site at any time.

In these Terms, "you", "your" and "User" refer to the individual or entity that creates a CareerNav account as a Customer. "CareerNav," "our", "we" and "us" refer to CareerNav. "Customer" refers to the person who receives coaching from a Coach regardless of communication form (i.e., phone, Skype, or in-person) or emails a question to a Coach via the Site. "Coach" refers to the person the Customer speaks with regardless of communication form (i.e., phone, Skype, or in-person) or who answers an email question received from the Customer via the Site.

2. Minors Are Not Allowed to Use the Site:

By using the CareerNav Site, you represent and warrant that you are 18 years of age or older. If you are not at least 18 years of age, do not use, access or register for the CareerNav Site.

3. No Reliance on the Term "Coach":

Every Coach on the Site has coaching experience. Some Coaches also have a degree in coaching and some do not.

CareerNav's use of the term "Coach" is just meant to describe those on the Site who conduct coaching with Customers regardless of the communication form (phone, Skype,in-person etc.) and/or also those who answer questions from Customers via the SIte and email. The term "Coach" does not guarantee a level of expertise for these Coaches.

4. For Informational and Educational Purposes Only, Not Advice:

Answers provided to Customers from the Coach via the Site or via coaching by phone are to be used only for educational and informational reasons.

5. No Professional-Client Relationships is Formed:

There is not a professional-client relationship formed through coaching by phone sessions (or any other communication method) or through Coaches answering questions by email.

6. Creation and Use of Customer Account; Access:

Visitors to CareerNav.com may browse the Site in accordance with these Terms of Use, but you will not have access to certain services without becoming a registered User. Those Services that are only available to registered Users require you to set up an Account prior to accessing such services. When you set up an Account, you are required to select an email address and password. You may not transfer or share your email address, password or account with anyone, and you are solely responsible for keeping your account information confidential. You agree to notify us at once of any unauthorized use of your account information or any other breach of security. You are solely responsible for any and all use of your Account. You represent and warrant that any information about yourself that you voluntarily provide to us will be accurate, current and complete.

You also agree to maintain your accurate contact information up to date.

If you have an issues with your account that you are unable to resolve by yourself, please send an email to Info@CareerNav.com and we'll resolve it as quickly as possible.

7. Email:

You agree to receive emails from CareerNav that allow you to receive answers from Coaches. You also agree to receive update emails from CareerNav. To opt-out of marketing emails simply click "Unsubscribe" in the email or send an email to Info@CareerNav.com

8. Privacy:

By using the site, you agree to be bound by our Privacy Policy, which is posted on this Site.

Certain parts of the Site and services, such as the login, order and registration process, will ask you to provide certain personal information to us. All uses of your personal information will be treated in accordance with our Privacy Policy, which is located at www.CareerNav.com and is incorporated by this reference into these Terms of Use. If you use the Site and/or Services, you are accepting the terms and conditions of our Privacy Policy. If you do not agree to have your information used in any of the ways described in the Privacy Policy, you must discontinue use of the Site and Services.

9. Email Questions Submitted May Be Vetted Before Being Forwarded to Coach:

In order to ensure that an email question submitted by a Customer is appropriate for the Coach (i.e., it does not require a phone conversation, it is appropriate in length, it matches the Coach's area of expertise etc) questions may be vetted or evaluated by CareerNav prior to that email being forwarded to the Coach.

10. Ratings and Reviews Posted on Site from Customers Not Personally Identifiable:

Ratings and Reviews from Customers posted on the Site are posted in a way so they are not personally identifiable. The Customers' first name and first letter of their last name are posted. But to protect the Customers' Rating and Review the complete last name of the Customer is not posted. A generic description of the Customers' job and industry may also be posted, but the Customers' actual company name will not be posted so as to keep the Ratings and Reviews from being personally identifiable.

11. Charges and Refund Policy:

Customers on CareerNav may be presented with multiple service and payment options: (1) a pay-per-session option where the customer pays $175 for one hour of coaching by phone and/or (2) a pay-per-session model where the customer pays $125 for 30 minutes of coaching by phone, and/or (3) a pay-per-question model where the customer pays $100 for an answer to a question the Customer submits via email. These prices and the addition or deletion of services offered may change at any time without notice.

With the pay-per-session option the Customer self-schedules an appointment on the Site with a Coach by choosing a time when the coach is available in the calendar on the Site. After submitting payment information via credit card or Paypal, it is the Customer's responsibility to phone the Coach at the confirmed time and at the phone number for the Coach that is provided.

With the option of emailing a Coach in order to receive an answer, the Customer emails the Coach via the site. The Coach will answer the question via the Site. When the Coach answers the Customer's question or asks for additional or clarifying information from the Customer, an email will be sent to the Customer saying so. It is the Customer's responsibility to login to their account on CareerNav to see the Coach's answer.

The Customer's makes payment before the pay-per-session option with the Coach is held or before the Customer's email is sent to a Coach for an answer via email.

After the Customer completes their pay-per-session coaching session by phone with the Coach or after the Customer receives an answer from the Coach they emailed, you will receieve an email asking you to Rate and Review the Coach regarding how valuable you found experience you had with the Coach. The Rating scale you will be asked to complete is from one (1) to five (5) where one (1) is the lowest score (most negative) and where five (5) is the highest (most positive). You will also be asked to Review the coach by providing a short (i.e., a few sentences) summary describing the highlights of what you most got out of your experience with the coach. After you submit your Rating and Review and, assuming there are not any questions about it, it will be posted to the SIte in a way that is not personally identifiable to you. This means, specifically, that your first name and first initial of your last name will be posted to the site, but your full last name will not be posted to the site. Your non-personally identifiable position and industry will also be posted. But the actual name of the company you work at will not be posted.

CareerNav can not guarantee you will receive an answer or a response from a Coach or that you will be satisfied with the Coach's response. If you are not satisfied with your experience with your Coach please send an email to Info@CareerNav.com immediately and CareerNav will do everything possible to resolve the issue to your satisfaction.

If you and CareerNav are unable to reach a satisfactory resolution to any issue you may experience and you want to request a refund, you should request a refund within one (1) month of when you paid. To request a refund send an email to Info@CareerNav.com.

12. Dispute Resolution:

CareerNav will act in good faith and do our best to resolve any problems that you may have with us or our Coaches' services in a manner that is satisfactory to you. If we are unable to reach a mutually satisfactory resolution, the Customer agrees that any controversy or claim between us resulting from the Customer working with a Coach regardless of the communication form (phone, Skype, texting, in-person etc.) or from any answers provided to you from a Coach via the Site, will be resolved by binding arbitration before a single arbitrator in the City and County of San Francisco, California. Any such controversy or dispute will be arbitrated on an individual basis, and will not be consolidated in any arbitration with any claim or controversy of any other party. The arbitrator will have authority to resolve all matters in dispute between us (subject to the liability limitations and liability disclaimer set forth in these Terms of Service), including the scope, applicability, and binding effect of this arbitration agreement, and to award arbitration expenses and costs to the prevailing party as determined by the arbitrator.

Notwithstanding the foregoing, either party may pursue injunctive or preliminary remedies in an appropriate state or federal court sitting in the City and County of San Francisco California pending the decision of the arbitrator, without waiving the right or affecting the obligation to arbitrate hereunder.

Except for the above, no other tribunal or court shall have power to hear disputes in connection with this Agreement.

All matters relating to your access to or use of the Site and any conflicts in relation to this Agreement shall be governed by US law.

13. Termination of Service; CareerNav's Right to Refuse Service:

If you choose to, you may terminate your service by emailing us at Info@CareerNav.com and stating your desire to do so. Cancellations will be effective within ten (10) business days.

CareerNav retains the right to refuse service to any visitor or any Customer to the Site for any reason. If CareerNav is unable to provide service to a Customer who has already paid then CareerNav will reimburse that Customer the amount that Customer already paid.

14. Intellectual Property from CareerNav:

All rights in the CareerNav logo, pictures, photos, graphics, and design are the property of CareerNav and/or its affiliates or licensors. None of the materials may be distributed, reproduced copied, distributed, republished, downloaded, displayed, posted or transmitted in any form or by any means without the prior written permission of CareerNav.

The CareerNav name and logo are trademarks of CareerNav.

All trademarks displayed on CareerNav's site are the trademarks of their respective owners, and are not intended to imply any endorsement or affiliation between CareerNav and these companies.

15. Sale of Assets from CareerNav:

If another company were to acquire all or substantially all of the assets related to the business of CareerNav.com, we reserve the right to include any or all stored personal information among the assets transferred to the acquiring company.

16. No Class Claims; Waiver:

You expressly agree that there shall be no class claims, consolidation or joinder allowed in any dispute between the parties, and that no claim may be made through an action purporting to represent a class of Site users or otherwise asserting claims on behalf of a class ("Waiver"). If this Waiver is found to be unenforceable, the dispute resolution process requiring arbitration, shall be voided in its entirety, and the parties may file a complaint in the courts located in San Francisco County, California courts and agree to waive any and all venue, jurisdictional, or inconvenient forum objections.

17. Changes to this Agreement:

CareerNav may change any of the Terms of this Agreement at any time and for any reason. Notice on material changes shall be posted on the Site. It is your responsibility to periodically check the Site for any such changes. You agree that your continued use of the Site will constitute your acceptance of such changes. If you do not agree to such changes, please stop using the Site.

18. Warranty Disclaimer:

The Site is provided "as is", without warranty of any kind.

19. Limitation of Liability:

In no event shall the total liability of CareerNav and its partners on the Site exceed the fee you paid CareerNav in connection with emailing your question to a Coach via the Site or in talking with a coach regardless of the communication form (phone, Skype, in-person etc.). You agree that this limitation of total liability applies regardless of whether in contract, tort (including negligence whether active, passive or imputed), strict liability (or other theory) arising out of or relating to the use of CareerNav's Site or from speaking with a Coach regardless of communication form (phone, Skype, in-person etc.).

20. Indemnification:

You agree to indemnify and hold CareerNav harmless from and against all liabilities, losses you may realize, and costs. You also agree to indemnify and hold CareerNav harmless from any expenses, including reasonable attorneys' fees, asserted by any third party that in any way are realized from your speaking with a Coach or Coaches or from using the Site, including, without limitation, any results from any conversations you have with a coach regardless of the communication form (phone, Skype, in-person etc.) or from any email answers provided to you from a coach via the Site. Your agreement to indemnify and to hold CareerNav harmless extends to any and all subsidiary and affiliate organizations, parent, officers, directors, shareholders, agents, employees, successors, consultants and Coaches.
